These Terms of Service (“Terms”) govern access to and use of services provided by United States Print & Fulfillment (“USPF”).
By using our website, submitting orders, requesting production, or engaging with USPF services, you agree to these Terms.
1. Services
USPF provides production, print, fulfillment, warehousing, logistics coordination, apparel decoration, and related operational services.
Services may include:
- DTG printing
- DTF printing
- Screen printing
- Embroidery
- Warehousing
- Inventory handling
- Pick-and-pack fulfillment
- Shipping coordination
- Brand merchandise support
- Logistics-related services
Service availability may change without notice.
2. Quotes & Orders
Quotes are estimates only and may change based on:
- Quantity adjustments
- Garment availability
- Freight costs
- Production changes
- Artwork revisions
- Material cost fluctuations
- Timeline changes
Orders are not considered approved until payment, deposit, or written authorization is received.
USPF reserves the right to refuse service at its discretion.
3. Production Timelines
Production timelines are estimates and are not guaranteed unless explicitly agreed to in writing.
USPF is not liable for delays caused by:
- Supplier shortages
- Shipping carrier disruptions
- Client approval delays
- Artwork issues
- Equipment failures
- Force majeure events
- High-volume demand surges
Clients acknowledge that turnaround times may vary depending on operational conditions.
4. Client Responsibilities
Clients are responsible for:
- Providing accurate order information
- Reviewing proofs and approvals
- Ensuring legal rights to submitted content
- Verifying sizes, quantities, and shipping addresses
- Maintaining adequate inventory counts for fulfillment
USPF is not responsible for errors approved by the client.
5. Intellectual Property & Copyright
Clients warrant that all submitted artwork, logos, trademarks, graphics, and content are legally authorized for reproduction.
USPF assumes no liability for intellectual property disputes arising from submitted materials.
Clients agree to indemnify and hold harmless USPF from any claims related to unauthorized use of copyrighted or trademarked materials.
6. Payment Terms
Invoices may require deposits, prepayment, or milestone billing.
Late payments may result in:
- Production delays
- Shipment holds
- Service suspension
- Additional fees
Outstanding balances may accrue interest where permitted by law.
USPF reserves the right to pursue collections for unpaid balances.
7. Refunds & Reprints
Because many USPF services involve custom production, all sales are generally final.
Refunds, reprints, or credits may be issued solely at USPF’s discretion in cases involving:
- Manufacturing defects
- Incorrect production caused directly by USPF
- Fulfillment errors verified by USPF
Minor variations in placement, color, texture, garment sizing, or print appearance are considered commercially acceptable.
Claims must typically be submitted within 7 days of delivery.
8. Shipping & Fulfillment
USPF coordinates shipping through third-party carriers.
Once packages are transferred to the carrier, shipping timelines and delivery performance are outside of USPF control.
USPF is not responsible for:
- Carrier delays
- Lost or stolen packages
- Customs delays
- Incorrect addresses provided by clients
- Weather or force majeure disruptions
Additional shipping charges may apply for address corrections, rerouting, or reshipments.
9. Warehousing & Inventory
Inventory stored with USPF remains at the client’s risk unless otherwise agreed in writing.
Clients are responsible for maintaining accurate inventory counts and insurance where necessary.
USPF reserves the right to charge storage fees, handling fees, or disposal fees for abandoned or inactive inventory.
10. Limitation of Liability
To the maximum extent permitted by law, USPF shall not be liable for indirect, incidental, consequential, punitive, or special damages.
USPF’s total liability related to any order or service shall not exceed the amount paid to USPF for the specific affected order.
11. Indemnification
Clients agree to defend, indemnify, and hold harmless USPF and its affiliates from claims, damages, liabilities, and expenses arising from:
- Submitted content
- Intellectual property disputes
- Product misuse
- Regulatory violations
- Client negligence
12. Force Majeure
USPF shall not be liable for delays or failures caused by events beyond reasonable control, including:
- Natural disasters
- Labor shortages
- Supply chain disruptions
- Power outages
- Government actions
- Cybersecurity incidents
- Transportation interruptions
- Public health emergencies
13. Governing Law
These Terms shall be governed by the laws of the State of Nevada.
Any disputes shall be resolved in the appropriate courts located in Nevada.
14. Modifications
USPF reserves the right to modify these Terms at any time.
Continued use of services after modifications constitutes acceptance of revised Terms.
